Terms and Conditions

These Terms were effective internally as of 1 March 2025 and published publicly as of 14 July 2025.

By accessing this website or engaging our services, you (“you”, “Client”, “User”) agree to be bound by the following Terms & Conditions (“Terms”).

1. DEFINITIONS

  • “Baraca”, “we”, “us”, or “our” refers to Baraca Life Capital Real Estate LLC.
  • “Advisory Services” refers to strategic real estate guidance, portfolio advisory, transaction coordination, and legal/structural consultation.
  • “Optional Services” refers to additional advisory support such as financing structuring, resale consultation, visa and corporate structuring, subject to additional fees.
  • “Client” or “User” refers to any individual or entity using the website or engaging Baraca's services.

2. SCOPE OF SERVICES

2.1 Baraca provides:

  • Real estate advisory, portfolio planning, and investment suitability consultation
  • Property opportunity sourcing and due diligence coordination
  • Legal and structural guidance (ownership types, setup, tax positioning)
  • Advisory support through booking, payment planning, documentation review, and closing
  • Referrals to third-party service providers (legal, tax, rental licensing, structuring)

2.2 Baraca does not provide:

  • Asset, property, or portfolio management
  • Investment fund management or financial advisory
  • Custody, holding, or management of client funds
  • Guaranteed returns, insured investments, or capital protection
  • Binding brokerage or intermediary representation with any developer

3. FEES, PAYMENT TERMS & REFUNDS

3.1 Advisory Fees

  • Standard advisory services are billed at 2% of the invested capital, payable upon closing.
  • Optional Services may include (but are not limited to):
    • Financing support: 1% of financed amount
    • Resale advisory: 2% of resale value
    • Rental structuring: 5% of annual income
    • Visa/corporate setup: Custom quote depending on complexity

3.2 Payment Terms

  • Advisory fees are payable upon signing of a binding property purchase agreement or as otherwise agreed in writing
  • Late payments may be subject to administrative or interest charges under applicable UAE law

3.3 Refunds

  • Fees are non-refundable once Baraca has delivered any portion of the advisory service
  • Any refund request will be considered at Baraca’s sole discretion and must be submitted in writing

4. CLIENT RESPONSIBILITIES

  • You agree to provide complete, accurate, and up-to-date information relevant to your investment decision
  • You remain responsible for all legal and financial decisions related to your investment
  • You acknowledge that tax, residency, and compliance obligations in your home country remain your responsibility
  • You agree not to misrepresent your relationship with Baraca or use our materials to make unauthorised claims

5. WEBSITE USAGE & INTELLECTUAL PROPERTY

  • This website provides general informational content; no material constitutes investment, legal, or tax advice
  • All intellectual property—text, images, branding, layouts—belongs to Baraca
  • You may not reproduce, distribute, or republish any content without written permission
  • Automated data scraping, bot activity, or manipulation of website content is strictly prohibited

6. DISCLAIMERS & LIMITATION OF LIABILITY

6.1 No Guarantee of Returns

  • Baraca makes no representation or warranty about investment performance
  • Past results, forecasts, or examples are illustrative and not a promise of future results

6.2 Limitation of Liability

  • To the maximum extent permitted by law, Baraca is not liable for any loss, including:
    • Capital loss, missed gains, or opportunity cost
    • Market conditions, regulatory changes, or developer delays
    • Disputes with developers or third-party providers
  • In all cases, Baraca’s liability is limited to the total fees paid by the Client for advisory services

7. DEVELOPER AGREEMENTS & THIRD-PARTY RELATIONSHIPS

7.1 Developer Agreements

  • The Client acknowledges that all purchase agreements, sales contracts, reservation forms, and other legal documents are executed directly between the Client and the developer or property seller.
  • Baraca is not a party to any such agreements and is not responsible for their terms, enforcement, or consequences.
  • Baraca's role is strictly advisory and supportive. We assist in connecting clients to developers, reviewing standard terms, and guiding the process, but we do not enter into transactions on the Client’s behalf.

7.2 Developer Disputes

  • In the event of any disagreement or dispute between the Client and a developer, Baraca may:
    • Support communication and document review
    • Refer the Client to appropriate legal or regulatory professionals
  • Baraca bears no legal or financial responsibility for the outcome of such disputes

8. INDEMNITY

You agree to fully indemnify and hold harmless Baraca, its officers, employees, and affiliates from any claims, liabilities, damages, expenses, or legal actions arising from:

  • Use or misuse of Baraca’s website or services
  • Breach of these Terms
  • Misrepresentations made by you to third parties
  • Legal claims arising from your agreements with developers or third parties

9. TERM & TERMINATION

  • Baraca may terminate or suspend access to its services or website at any time, without notice, if the Client violates these Terms or engages in fraudulent, unethical, or illegal activity
  • Upon termination, all outstanding obligations (including unpaid fees) remain enforceable

10. FORCE MAJEURE

Baraca is not responsible for any delay or failure to perform resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government actions, or infrastructure failure.

11. GOVERNING LAW & DISPUTE RESOLUTION

  • These Terms are governed by the laws of the United Arab Emirates
  • Any disputes will be subject to the exclusive jurisdiction of the courts of Dubai, UAE, unless resolved otherwise by mutual agreement

12. MODIFICATIONS TO TERMS

Baraca reserves the right to update or modify these Terms at any time.
Revised versions will be posted on the website. Continued use of our website or services constitutes acceptance of the revised Terms.
